The IAFC Constitution, Bylaws and Resolutions (CBR) Committee proposes the following changes to the IAFC Constitution and Bylaws document.
Proposal 1 – International Members and Divisions
At least one division has received an application for division membership from a member in a nearby country who wants to be a member of that division, rather than an “international” member. This proposed amendment gives divisions the authority to accept such members as division members.
Proposal 2 – Minimum Qualifications for Section Officers
This proposed amendment establishes minimum qualifications for section officers and establishes section officer and IAFC board of directors qualifications for sections for which affiliate membership is the minimum membership standard.
Proposal 3 – Removal from Office
This proposed amendment gives a section’s board members the authority to remove an executive-committee member for conflict of interest or conduct that represents a conflict of interest with IAFC interests and values.
Proposal 4 – Removal from Office by IAFC Board
This proposed amendment extends to the IAFC’s board of directors the authority to remove a section executive-committee member for conflict of interest or conduct that represents a conflict of interest with IAFC interests and values. The amendment provides such member with an opportunity to engage the IAFC board before any action is taken; removal requires a 75% board supermajority. Note that Proposal 4 is identical to the standard of IAFC board member removal already part of the IAFC’s constitution and bylaws.
Proposal 5 – Technical Amendment – Section Member Maintenance Required to Maintain Eligibility for IAFC Board Seat
The CBR Committee has concluded that failure to include affiliate members in Article V, Section 2 (“Composition of the Board”) is an editing error that was not corrected at the time that affiliate membership status was established. By authority of the provisions of IAFC’s Bylaws, Section 1, Subsection 5 (“Technical Amendments”), the CBR Committee voted unanimously on 20 April 2015 to propose a technical amendment for board of directors approval and presentation to the membership at FRI 2015 that would add “affiliate member” to the classes of membership used for calculating eligibility for a section representative to the IAFC board of directors.
